What are the benefits of joining LAIN?

LAIN gives you a direct and institutional voice in backing the next generation of Lebanese founders — through the Investment Committee, where the angel network holds a rotating angel seat and an aggregated angel vote. Who manages the fund?

BY Venture Partners, an established early-stage fund with a track record across MENA and globally. LAIN is backed by an experienced investment team with institutional infrastructure.

How is deal flow sourced?

Deal flow is sourced through BY's proprietary networks and the wider Lebanese diaspora ecosystem. The LAIN investment team runs internal diligence before surfacing only the highest-conviction opportunities to the IC — keeping the fund opportunistic and quality-focused.

Do I have any say in which companies get backed?

Yes. Angels participate in the Investment Committee, which includes a rotating angel seat and a collective angel vote on every deal. For every opportunity, we will share deal pages with the angels. Every angel will be able to review the full materials and vote on each deal. Those pages will include everything you'd want to assess, including the team, business model, product, and traction.

Can I co-invest in individual deals?

Co-investment opportunities arise selectively, only in breakout companies. When a LAIN portfolio company has broken through and is raising a new round, LAIN can offer a portion of its allocation to angels, who invest directly into the company through a dedicated SPV. This gives you the ability to increase your exposure to the specific founders and companies you are most excited about.

Who are the other LPs in LAIN?

LAIN is an angel fund, and the goal is to engage with as many LPs as possible in the Lebanese ecosystem and build a network and community of angels. The majority of our LPs are individuals rather than institutions, and they are all part of the Lebanese diaspora. The idea is to build an ecosystem that can add value, support founders, source deal flow, and continue to give back to Lebanon.

How does the drawdown work?

LAIN operates on a single upfront commitment — you fund once, with no future capital calls.

When will my funds be drawn?

Funds are typically drawn within one week of signing your final subscription documents.

What is the fund term?

The fund term is 8+1+1 — eight years with two optional one-year extensions.

Q11.

How are distributions handled?

Distributions are paid out deal by deal as exits happen, and once the fund investment period is over. Carried interest only kicks in once the full committed capital has been returned to LPs.

Q12.

Is there a hurdle rate?

There is no hurdle rate. However, carried interest of 20% only kicks in once 100% of committed capital has been returned to LPs — you get your full capital back before the GP participates in any upside.

How does the management fee work?

The management fee is 2% per annum during the investment period (the earlier of four years from first close or full deployment). It then steps down by 0.25% each year thereafter, subject to a 1% floor.

Can I sell my LP interest?

Secondary sales of LP interests are permitted, subject to GP consent and compliance with the transfer restrictions set out in the LPA. GP consent is required to ensure the incoming investor meets the eligibility criteria for admission as a Limited Partner.

When can I expect returns?

LAIN is an early-stage venture fund. Returns are generated through exits — acquisitions, secondaries, or IPOs — with returns expected starting year 7.

Q16.

What is the fund's tax treatment?

The fund is established in Luxembourg as a limited partnership, which is a tax transparent vehicle — meaning the fund itself is not subject to tax at fund level. Each LP is taxed in their own country of residence on their share of the fund's income and gains, in accordance with local tax rules.
